I have the megans c.o.'s and just recieved the tsw vortex 17x8 and a 245/40/17 tire. With the car jacked up a little the rim barely clears the c.o.(maybe about 1/4") and the tire looks like it's not gonna even have a chance clearing the c.o. Is it because my cars on a jack? My car is not slammed either.

Are the new tires/wheels already mounted/balanced? If so have you set the car back on the ground to see how much clearance there is?

You dont need spacers with a 17x8 35mm offset...
what tire do you have though? some are wider then others
the tires are sumitomo htrzII 245/40/17. The tires are not mounted and balanced. I just placed tire inside the wheel well and took the measurements and it's to close for my liking. I want simple and reliable. I bought the rims from discounttires.com and tires from tirerack. S&h is gonna be $200.00 when all said and done. $100 rims and tires here and another $100 back. Yay.

It is tough to tell anything until the tires are mounted and you put everything on and tighten down. A 17x8 35mm offset with 245/40-17 should clear the coilovers without a spacer but it was tight on mine.
Some things you can play with -
1) Alignment. By this, I mean you need to loosen the coilover bottom mounting bolts and try to get as much clearance before retightening the bolts. After that, get an alignment with camber adjusted through the camber plates.
2) Height adjustment. You say you aren't slammed so I am guessing you don't want to go higher but that is an option.
3) Adjust the pre-load. You don't want to tighten too much on the spring but by bringing the bottom spring collar up, you should be able to reduce the chance for rubbing.
4) Spacers - I agree with you on the spacers, especially if you have stock wheel studs but 3mm might just gain you enough without a worry.

Otherwise a 235 tire.
The alignment kit I was telling you about will replace one of these bolts that jnathan is talking about for each side and will give that much more adjustment for some positive camber away from the coilover. I was told that these bolts will not fail and that the coilover would actually bend before the bolt would fail.
