it was called a "merger of equals" to calm the american end down but really it was a buy out of Chrysler by Daimler. Dont confuse the names Daimler is the parent company to Benz and Chrysler, the latter two being subsidaries.

Basically it came down to the Germans at Daimler-Benz being a lot smarter at the negotiating table then their American colleagues. In the end, D-B lost a ton of money in this deal as it was their former leaders idea to expand around the world at all cost and the first step was acquiring Chrysler. They tried to do something with Mitsubishi but I believe it was just becoming a sink hole.
The new leader of D-C was the head of Chyrsler. He is German but apparantly he has different ideas than his previous boss and he is responsible for the most part for delivering the great new Chrysler products.
